These Terms and Conditions ("Terms") govern your access to and use of the website zyntra-technologies.com (the "Website") and the Zyntra gym management software for Windows and related services (together, the "Service") provided by Zyntra Technologies ("Zyntra", "we", "us" or "our").
By creating an account, subscribing to a plan or using the Service, you agree to these Terms. If you are accepting them on behalf of a company, gym or other organisation, you confirm that you have the authority to bind that organisation, and "you" refers to it.
1. The Service
Zyntra is gym and fitness management software for Microsoft Windows (Windows 10 and 11). It is installed on your computer and licensed on a monthly or yearly subscription basis. The software works both online and offline. Some features, such as license activation, multi-branch sync and SMS/WhatsApp reminders, need an internet connection. It includes features such as member management, attendance tracking, billing and invoicing, trainer and class scheduling, point of sale and reporting. The features available to you depend on the plan you choose, as described on our Pricing page.
We also provide custom software development services. These are agreed separately in a written proposal or contract, and those documents take priority over these Terms where they conflict.
2. Accounts
- You must provide accurate and complete information when you create an account and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity under your account, including activity by your staff users.
- You must be at least 18 years old and able to enter into a binding contract to use the Service.
- Tell us immediately at zyntratechnologies25@gmail.com if you suspect unauthorised use of your account.
3. Orders, payments and our reseller (Paddle)
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you buy a subscription online, you are buying from Paddle, which also accepts payment and issues invoices and receipts. Your purchase is also subject to Paddle's Buyer Terms. Paddle may collect and remit any sales tax, VAT or GST that applies.
- Prices. Prices are shown in US dollars on our Pricing page and may be subject to applicable taxes, which are calculated at checkout.
- Billing cycle. Subscriptions are billed in advance, monthly or yearly depending on the billing period you choose, starting on the date of purchase.
- Automatic renewal. Your subscription renews automatically at the end of each billing period at the current plan price until you cancel.
- Failed payments. If a payment fails, Paddle may retry the charge. If payment is not received, we may suspend access to the Service until the balance is paid.
- Price changes. We may change our prices. Any change will apply from your next billing period, and we will give you at least 30 days' notice by email.
- Enterprise and Gold Enterprise plans are priced by individual quote and may be invoiced under a separate agreement.
4. Delivery, installation and activation
- After your payment is confirmed, our team will contact you within one business day, using the email address you gave at checkout, to schedule installation.
- We install the software on your Windows computer(s) either remotely, using a remote-access tool such as AnyDesk or TeamViewer, or on-site. Installation, basic setup and staff training are included with every plan at no extra cost.
- We activate your license for the plan and billing period you paid for. The license stays active while your subscription is active and paid.
- You are responsible for providing a compatible Windows computer, an internet connection for activation and online features, and access to the computer for installation. For remote installation, you allow us temporary remote access for setup only.
- If your subscription ends, is cancelled or is refunded, your license is deactivated at the end of the paid period (or on the refund date) and the software will stop working.
5. Upgrades, downgrades and cancellation
- You can upgrade or downgrade your plan at any time. Any price difference is prorated and charged or credited to your next invoice.
- You can cancel your subscription at any time from your account or by emailing us. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Refunds are covered by our Refund Policy.
6. Free trials and demos
We may offer free demos or trial periods. Unless we say otherwise, a trial ends automatically and you will not be charged unless you choose to subscribe.
7. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in breach of any applicable law, including data protection law;
- copy, modify, resell, sublicense or reverse engineer the software, or bypass or tamper with its license activation, except where the law allows it;
- try to gain unauthorised access to the Service, other accounts or our systems, or interfere with the Service's security or performance;
- upload viruses or malicious code, or send spam through the Service's messaging features;
- use the Service to store or share content that is illegal, infringing or harmful.
We may suspend or terminate accounts that break these rules.
8. Your data
You own the data you and your members enter into the Service ("Customer Data"). You give us permission to host, process and back up Customer Data only as needed to provide and support the Service. You are responsible for having a lawful basis to collect your members' personal data and for giving them any notices that are required. Our Privacy Policy explains how we handle personal data.
Customer Data is stored on the Windows computer(s) where the software is installed. When you use online features such as multi-branch sync, it is also sent to and stored on our servers. You are responsible for keeping your computers secure. When your subscription ends, you can ask for an export of your Customer Data within 30 days. After that, we may delete any copy held on our servers.
9. Intellectual property
The Service, the Website and all related software, designs, logos and content belong to Zyntra Technologies or its licensors and are protected by intellectual property laws. For as long as your subscription is active, we give you a limited, non-exclusive, non-transferable license to install and use the software on computers at your own gym branch(es), up to your plan's limits, for your internal business purposes. The software is licensed, not sold. The white-label rights under the Gold Enterprise plan are set out in the separate agreement for that plan.
10. Updates and support
We provide software updates and bug fixes while your subscription is active. We work to keep the Service reliable and secure, but we do not guarantee that it will be uninterrupted or error-free. Support channels and response times depend on your plan.
11. Third-party services
The Service may connect to third-party services such as SMS gateways, WhatsApp, biometric devices and payment providers. Those services have their own terms, and we are not responsible for how they perform.
12. Disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, Zyntra Technologies will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You agree to indemnify and hold Zyntra Technologies harmless from any claims, losses or expenses arising from your breach of these Terms or your misuse of the Service.
15. Termination
You may stop using the Service at any time. We may suspend or end your access if you materially breach these Terms, fail to pay, or use the Service in a way that could harm us or others. Where reasonable, we will give you notice first. Sections 8, 9 and 12 to 17 continue to apply after termination.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the new version on this page and change the "Last updated" date. If a change is significant, we will also notify you by email. If you keep using the Service after a change takes effect, you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the jurisdiction where Zyntra Technologies is registered, and the courts of that jurisdiction have jurisdiction over any dispute, unless the consumer protection laws of your country of residence say otherwise.
